1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and LockIn.bot ("Company," "we," "us," or "our") governing your access to and use of the LockIn.bot website, Telegram bot, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

LockIn.bot is an AI-powered sales assistant for Telegram that helps users automate follow-ups and manage their sales pipeline. Our Services include, but are not limited to, automated messaging, contact management, deal tracking, and sales analytics.

3. Eligibility

You must be at least 16 years old to use our Services. By using our Services, you represent and warrant that you meet this requirement and that you have the right, authority, and capacity to enter into these Terms.

4. User Accounts

To use certain features of our Services, you may need to create an account. You are responsible for:

  • Providing accurate and complete information when creating your account
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with these Terms.

5. Subscription and Payment

Some of our Services require payment of fees. By subscribing to a paid plan, you agree to pay all fees in accordance with the pricing and payment terms presented to you. Unless otherwise stated:

  • All fees are quoted in US dollars
  • Payments are non-refundable except as expressly set forth in these Terms or as required by applicable law
  • You authorize us to charge your designated payment method for all fees
  • If your payment method fails or your account is past due, we may restrict or suspend your access to the Services

We may change our fees at any time. If we change our fees, we will provide notice of the change on the website or via email at least 14 days before the change takes effect.

6. Free Trial

We may offer a free trial of our Services. The duration of the free trial period will be specified during sign-up. We reserve the right to modify or terminate free trials at any time without prior notice. We may limit eligibility for free trials to prevent abuse.

7. Token Program

We may offer a token program that allows users to earn and use tokens within our Services. Participation in the token program is subject to additional terms that will be provided to participants. Tokens have no cash value and cannot be exchanged for cash. We reserve the right to modify or terminate the token program at any time.

8. User Content

Our Services allow you to create, upload, store, and share content, including messages, contacts, and other materials (collectively, "User Content"). You retain all rights in your User Content, and you are solely responsible for it.

By providing User Content through our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works based upon, distribute, and display your User Content for the purpose of operating and providing our Services.

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate the rights of any third party
  • Your User Content complies with these Terms and all applicable laws

9. Prohibited Conduct

You agree not to:

  • Use our Services for any illegal purpose or in violation of any laws
  • Send spam or other unsolicited messages in violation of applicable laws
  • Interfere with or disrupt the integrity or performance of our Services
  • Attempt to gain unauthorized access to our Services or related systems
  • Collect or harvest user data without permission
  • Use our Services to send malicious software or harmful code
  • Impersonate another person or misrepresent your affiliation with a person or entity
  • Use our Services to harass, abuse, or harm another person
  • Use our Services in a way that could disable, overburden, or impair the Services

10. Intellectual Property Rights

The Services and their content, features, and functionality are owned by the Company and are protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

11. Third-Party Services

Our Services may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any such third-party websites or services.

12. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER ARISING OUT OF OR CONNECTED WITH THE USE OR INABILITY TO USE THE SERVICES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

15. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (i) your use of the Services; (ii) your violation of these Terms; (iii) your violation of any third-party rights, including without limitation any intellectual property rights or privacy rights; or (iv) any claim that your User Content caused damage to a third party.

16. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

17. Changes to Terms

We may modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or through our Services. Your continued use of the Services after such notification constitutes your acceptance of the modified Terms.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

19. Entire Agreement

These Terms constitute the entire agreement between you and the Company regarding our Services and supersede all prior agreements and understandings, whether written or oral.
